TriZetto Completes Private Placement of $100 Million of Convertible Senior Notes

NEWPORT BEACH, Calif. – October 14, 2005 – The TriZetto Group, Inc. (Nasdaq: TZIX) today announced that it completed a private placement of $100 million aggregate principal amount of its convertible senior notes due 2025.

"We are pleased to have efficiently completed this financing transaction, culminating a capital restructuring strategy begun in the fourth quarter of 2004," noted TriZetto Chairman and CEO Jeff Margolis.

Since December of 2004, TriZetto has repurchased and placed into treasury 7.2 million shares of the company's common stock. Following the private placement transaction, shares outstanding are approximately 41.9 million, compared to 47.4 million shares at September 30, 2004 and 42.9 million shares at June 30, 2005.

TriZetto received net cash proceeds of approximately $82 million after deducting the amount used to repurchase 1 million shares of the company's common stock in connection with the private placement, fees and estimated offering expenses.

The 20-year notes are convertible, in certain circumstances, into common stock of TriZetto at an initial conversion price of $18.85 per share and accrue interest at an annual fixed rate of 2.75%.
